These Soar Terms of Use (the "Terms") are an agreement between you and Beijing Xinge Culture Media Co., Ltd. (北京新歌文化传媒有限公司) ("we", "us") covering your registration for, sign-in to and use of the Soar service.
Please read these Terms carefully and make sure you understand them, especially the terms shown in bold, including but not limited to: terms that exclude or limit our liability, terms that restrict your rights, terms on class recording and the consent of others, terms on AI-generated content, terms on breach, and terms on governing law and dispute resolution. If you have any questions about these Terms, contact us using the details in "Contact us".
By clicking to agree to these Terms, completing registration or otherwise actually using the Soar service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, do not register for or use the Service.
If you are under 18, please read these Terms with your parent or guardian and use the Service only with their consent; if you are under 14, your guardian must agree on your behalf.

- Service: the software and services we provide under the Soar name, including the Soar desktop client, Soar on the web (app.soar.study), the Soar web app used in phone and tablet browsers, the Soar website (soar.study), and every feature provided through these channels, including but not limited to live class transcription and translation, the notebook and material reading, the AI assistant, review, calendar and goals, creation (slides, documents, spreadsheets), course management, sharing and collaboration, conversation translation, voice cloning and material collection.
- User or you: a natural person who registers for, signs in to or uses the Service.
- User content: any content you upload, enter, record, create, publish or share while using the Service, including but not limited to text, audio, images, documents, materials, notes, annotations, conversations, assignments and comments.
- Generated content: transcriptions, translations, summaries, answers, slides, images, speech and other content generated by the Service's AI features from your input.
- Course: a learning space created in the Service that others can be invited into.
- Rules: usage rules, feature descriptions, announcements and similar we publish for the Service from time to time; they form part of these Terms.
2. Scope and effect
- These Terms consist of the main text, the Soar Privacy Policy and the rules we have published or may publish. Once formally published, these form an inseparable part of these Terms with the same legal effect as the main text.
- Some features (such as material collection) may have their own notice or agreement, shown to you before you use the feature. Where it differs from these Terms, it prevails for that feature.
- These Terms take effect when you click to agree or actually use the Service.
3. Accounts
3.1 Eligibility
- You confirm that when you register for or actually use the Service, you are a natural person with civil capacity appropriate to using the Service. If you do not have full civil capacity, you and your guardian bear all consequences arising from this in accordance with the law.
- During the beta, registration may require a one-time code. We decide who receives codes.
3.2 Account information
- You must register with a lawful and valid email address of your own and make sure the information you provide is true, accurate and lawful. You are responsible for any inability to sign in or recover your account, or other consequences, caused by information that is untrue, inaccurate or out of date.
- Your display name, profile picture and similar information must not violate laws, regulations, public order or good morals, impersonate any person or organisation, or infringe others' lawful rights.
3.3 Account security
- Your account is for your use only. Without our consent you may not give, lend, rent, transfer, sell or otherwise allow anyone else to use it.
- You must keep your account and password safe. Everything done with your account and password is treated as done by you, and you are responsible for it, unless you can show it resulted from our fault.
- If you discover unauthorised use of your account, notify us immediately. We are not liable for losses incurred before we receive your notice and take reasonable measures, except as otherwise provided by law.
3.4 Closing your account
- You can close your account as described in the Soar Privacy Policy. After closure you can no longer sign in to or use the account, and its data is deleted or anonymized as described in the Privacy Policy. Export any data you want to keep before closing your account.
3.5 Reclaiming accounts
- If your account has not been signed in to for a long time, or there has been a breach of these Terms, we may restrict, freeze or reclaim it after notifying you. Before doing so we will give you a reasonable period to export your data, unless the law provides otherwise or the situation is urgent.
4. The Service and its nature
- What we provide: through the Service we provide class transcription and translation, processing of learning materials, AI-assisted learning and creation, course collaboration and related features. The features actually provided may differ by version, platform and region.
- Beta nature: the Service is currently in beta. Some features are still being developed and adjusted and may contain defects, be unstable, change their data structures or be withdrawn. You understand and agree to use the Service on this basis.
- Free and paid: the Service is currently free. In future we may charge for some features or for usage above certain limits; if so we will tell you clearly in advance what is charged, how much and how, and you may choose whether to pay; not paying does not affect your continued use of the free features. We will not charge you anything without your express consent.
- Usage limits: to keep the Service fairly available to everyone, we may set reasonable limits on AI-feature usage, file size, storage and similar, and will show them in the app.
- Network and devices: you are responsible for the devices, network and related costs (such as data charges) needed to use the Service.
5. Rules of conduct
5.1 You may not use the Service to create, copy, publish or spread information that:
- opposes the basic principles established by the Constitution;
- endangers national security, leaks state secrets, subverts state power or undermines national unity;
- harms national honour and interests;
- distorts, defames, desecrates or denies the deeds and spirit of heroes and martyrs;
- promotes terrorism or extremism, or incites terrorist or extremist activities;
- incites ethnic hatred or discrimination or undermines ethnic unity;
- undermines state religious policy or promotes cults and feudal superstition;
- spreads rumours or disrupts economic or social order;
- spreads obscenity, pornography, gambling, violence, murder or terror, or incites crime;
- insults or defames others or infringes their reputation, privacy or other lawful rights;
- infringes others' intellectual property, trade secrets or other lawful rights;
- contains anything else prohibited by laws and administrative regulations.
5.2 When using the Service you may not:
- collect, use or disclose other people's personal information, or record audio or video of others, without their consent;
- use other people's voice samples for voice cloning, or use the Service to generate or synthesise voices, text or images that impersonate others;
- use the Service to generate or spread false information, or pass off generated content as real news, evidence, academic work or official documents;
- delete, alter or hide labels that the Service adds to generated content as required by law;
- breach your school's or institution's academic-integrity rules by using the Service to cheat in exams, have assignments written for you, plagiarise or commit other academic misconduct;
- reverse engineer, decompile or disassemble the Service, or otherwise try to obtain its source code, except where the law expressly permits;
- access or scrape the Service's data with crawlers, scripts or other automated means, or register accounts or call interfaces in bulk;
- bypass, evade or break the Service's usage limits, security measures or access controls;
- interfere with or disrupt the normal operation of the Service or its servers or networks, or spread viruses, trojans or other malicious code;
- use the Service for any illegal or criminal activity, or to help others do so;
- without our written permission, resell or rent the Service or any part of it, or use it to provide a similar service to third parties;
- do anything else that violates laws and regulations, public order and good morals, or these Terms.
5.3 Consequences
- If you break these rules, we may, depending on the circumstances, delete content, issue warnings, restrict features, suspend or terminate the Service or close your account, keep relevant records as required by law and report to the competent authorities. You bear any resulting loss to yourself; if you cause loss to us or third parties, you must compensate it in accordance with the law.
6. Class recording and the consent of people present
Please pay particular attention to this section.
- When you use live class, in-person listening, dictation, conversation translation, transcription of uploaded recordings and similar features, the Service processes audio captured by your device or uploaded by you, which may contain the voices and words of teachers, classmates and others.
- As the party who starts the capture or uploads the audio, you must first understand and comply with the laws and regulations where you are and with your school's or institution's rules on recording classes, and obtain the consent required by law from everyone recorded (such as the teacher, classmates who speak and the people you talk with).
- We only provide a technical tool; we do not, and cannot, check whether you have obtained the necessary consent. You bear any dispute, claim or liability arising from recording, transcribing, saving or spreading without the necessary consent or in breach of applicable rules; if this causes us loss, you must compensate us.
- Content you obtain from class transcription and translation is for your personal study only. Without the consent of the teacher or other rights holders, you may not spread class content (including subtitles, translations, recordings and slides) publicly or use it commercially.
7. Special terms for AI-generated content
7.1 Nature of generated content
- Transcriptions, translations, summaries, answers, slides, images, speech and other generated content in the Service are produced automatically by AI models. Because of technical limitations, generated content may contain errors or omissions, be inaccurate, out of date or inconsistent with the facts, or differ from what you expect.
- Generated content is a learning aid and reference only. It does not represent our views and is not professional advice of any kind, including but not limited to medical, psychological, legal, financial, investment or academic-review advice. Before using generated content for study, exams, assignments, papers, work or any other purpose, verify its accuracy and suitability yourself and make your own judgement. You bear the consequences of relying on generated content.
7.2 Your input
- You must make sure that the content you enter or upload to AI features is lawful and that you are entitled to use it. You may not induce the AI to generate content that is illegal, harmful or infringes others' rights.
7.3 Using generated content
- To the extent permitted by law and provided you comply with these Terms, you may use generated content for your own study, teaching and work. We do not guarantee that generated content does not infringe third parties' rights, nor that it is eligible for copyright or other legal protection. When you use, publish or spread generated content, you must confirm its lawfulness yourself and bear the corresponding responsibility.
- When you publish or spread generated content, you must label it appropriately as AI-generated in accordance with laws, regulations and relevant rules.
7.4 Labelling and content safety
- We add the necessary labels to generated content in accordance with laws, regulations and relevant national rules.
- To keep content safe, we and the model providers we engage may automatically review input and generated content, and may refuse or stop generation, delete illegal content and restrict the accounts involved.
- If you find generated content that is illegal or infringes your lawful rights, you can complain or report it through "Contact us" and we will deal with it promptly.
8. User content and intellectual property
8.1 Your content is yours
- The rights you hold in your user content are not transferred to us by your use of the Service.
8.2 The licence you give us
- To provide the Service (including storage, sync, transcription, translation, recognition, rendering, search, AI processing and showing content to the people you choose), you grant us a worldwide, royalty-free, non-exclusive licence to use your user content to the extent necessary to provide and maintain the Service. The licence ends when you delete the content or close your account, except for copies held by others of content you have shared with them and parts we must keep to meet legal obligations.
- We do not use your user content to train our own models, nor for advertising.
8.3 Your warranties
- You warrant that you hold the lawful rights to, or have the rights holders' permission for, the user content you upload and share (including textbooks, handouts, slides, images and other people's works), and that it does not infringe any third party's intellectual property, portrait, privacy or other lawful rights. You bear any dispute, claim or liability arising from your user content; if it causes us loss, you must compensate us.
8.4 Our intellectual property
- The intellectual property in the Service and its software, code, interface design, layouts, icons, text, images, trademarks and logos (including the Soar name and logo) belongs to us or the relevant rights holders. Without our written permission you may not use, copy, modify, distribute or otherwise exploit them in any way, except as necessary to use the Service normally.
- Licence information for the open-source software and fonts used in the Service is available under Settings → About and on the licences page of the website; they are subject to their own licences.
8.5 Your feedback
- We may use your opinions, suggestions and feedback free of charge to improve the Service, without paying you or seeking further consent.
8.6 Infringement complaints
- If you believe content in the Service infringes your copyright or other lawful rights, send proof of your rights, the exact location of the infringing content and your contact details to support@soar.study. In accordance with the Regulations on the Protection of the Right to Network Dissemination of Information and related rules, once we receive a valid notice we will promptly delete, block or disconnect the content as necessary and forward the notice to the user concerned, who may submit a counter-notice of non-infringement in accordance with the law.
9. Courses, sharing and collaboration
- Course roles: one account can hold different roles (teacher, teaching assistant, student, auditor) in different courses. Permissions in each course are independent.
- Teachers' responsibilities: when you create a course, enter a roster, upload materials and set and grade assignments as a teacher, you must make sure there is a lawful basis for the student names, numbers and other information you enter, that you are entitled to use the materials you upload, and that you follow your school's or institution's rules.
- Content students submit to a course: assignments you submit are visible to the course teacher; what you can see within a course follows the Service's design and the Soar Privacy Policy.
- Share links: anyone with a share link you create can open it without signing in. Please judge for yourself whether shared content is suitable to be public and whether it contains your or others' personal information or protected works. You bear the consequences of your sharing.
- Other people's content: content of others that you obtain through courses or sharing may be used only within the Service and within the scope the rights holders permit.
10. Third-party services
- Some features of the Service rely on third-party services (such as cloud computing, speech recognition and AI models, reverse geocoding, push notifications, and literature and image search); see the Soar Privacy Policy. The Service may also contain links to third-party websites (such as links to the full text of references).
- Third-party services are operated by those third parties, and their availability and content are outside our control. We will help you within reasonable limits with problems caused by the interruption, change or content of third-party services, but we are not responsible for the conduct of third parties, except as otherwise provided by law.
11. Changes, interruption and termination of the Service
- We may adjust, upgrade, replace or withdraw all or part of the Service's features as our business develops. We will notify you in advance by in-app notice or announcement of changes that significantly affect you.
- In the following circumstances the Service may be interrupted or not work normally. We will make reasonable efforts to restore it promptly, but are not liable for resulting losses, except as otherwise provided by law:
- necessary maintenance or upgrades of servers and software (we will try to give advance notice and choose times that affect you less);
- force majeure, including but not limited to natural disasters, war, epidemics, government action, changes in policy or law, and power or network failures;
- failure or interruption of third-party services (including cloud services, AI model services and network operators);
- hacking, computer viruses or other security incidents not caused by our intent or gross negligence;
- problems with your device, software or network environment.
- Backing up data: because the Service is in beta and any system can fail for unforeseeable reasons, we strongly recommend that you regularly save important data with "Export & backup". We take reasonable measures to prevent data loss, but are not liable for data loss or damage not caused by our intent or gross negligence, except as otherwise provided by law.
- Ceasing operation: if we decide to stop operating the Service, we will announce it in the app and on the website at least 30 days in advance, during which you can export your data.
- You ending use: you can stop using the Service and close your account at any time.
- We ending the Service: if you seriously breach these Terms or the law, we may stop providing the Service to you. After these Terms end, we have no obligation to keep or provide any information in your account, unless the law or these Terms provide otherwise; we may still pursue liability for any breach you committed before termination in accordance with the law.
12. Disclaimer
Please pay particular attention to this section.
- To the maximum extent permitted by law, the Service is provided "as is" and "as available". We make no express or implied warranty, including but not limited to that the Service will meet all your needs; that it will be uninterrupted, timely, secure or error-free; that transcriptions, translations, recognition and generated content will be accurate, complete or reliable; or that the Service will be fully compatible with your devices or other software.

- your use of the Service in breach of these Terms, the law, or your school's or institution's rules;
- recording, transcribing, saving or spreading without the necessary consent of others;
- the conduct of third parties, including content posted by other users and the conduct of people who access your content through share links;
- theft of your account or leaks of information caused by you (including disclosing your password, not signing out on someone else's device, or your device being infected with a virus);
- the interruptions listed in Section 11.
- The exclusions and limitations of liability in this section and elsewhere in these Terms do not apply to property loss caused to you by our intent or gross negligence, nor to personal injury caused to you; we bear, in accordance with the law, any liability that laws and administrative regulations do not allow us to exclude.
13. Limitation of liability
- To the maximum extent permitted by law, we are not liable for any indirect, incidental, special or punitive loss arising from the Service or these Terms, including but not limited to loss of profits, revenue, goodwill or data (except as otherwise provided in these Terms), or loss of academic or work opportunities, even if we have been told such loss may occur.
- To the maximum extent permitted by law, our total liability to you in connection with the Service and these Terms will not exceed the total fees you actually paid us for the Service in the twelve months before the event giving rise to liability; while the Service is provided free of charge, this cap is RMB 100.
- This section likewise does not apply to the circumstances described in the last paragraph of Section 12.
14. Indemnity
- If any third party makes a claim or brings proceedings against us, or we receive an administrative penalty, because of your breach of these Terms or the law, your user content, your use of generated content, your recording without the necessary consent of others or similar conduct, you must deal with it and compensate us for all resulting losses, including but not limited to damages, fines, and reasonable lawyers' fees, litigation costs, notarisation fees and travel expenses.
15. Notices and service
- We may give you notice by in-app message, pop-up, announcement, the email address you registered with and similar means. Notices sent by in-app message, pop-up or announcement are deemed delivered on the date of publication; notices sent by email are deemed delivered on the date they are successfully sent. Keep your registered email address valid and update it promptly if it changes or stops working.
- You can send notices to us using the details in "Contact us".
16. Changes to these Terms
- We may change these Terms as laws change or the Service is adjusted. Changed Terms are published in the app and on the website with a version number and update date.
- We will notify you prominently, for example with an in-app pop-up, of changes that affect your significant rights and interests. If you continue to use the Service after the changed Terms take effect, you are deemed to accept them; if you do not agree, stop using the Service, and you may close your account.
17. Governing law and dispute resolution
Please pay particular attention to this section.
- The conclusion, validity, interpretation and performance of these Terms and the resolution of disputes are governed by the laws of the People's Republic of China (for the purposes of these Terms, excluding the laws of the Hong Kong Special Administrative Region, the Macao Special Administrative Region and Taiwan).
- Any dispute arising from or relating to these Terms or the Service shall first be resolved through friendly negotiation; if negotiation fails, either party may bring proceedings in a competent people's court at the place of domicile of Beijing Xinge Culture Media Co., Ltd.
